TERMS AND CONDITIONS OF APNASEHER

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("You" or "User") and Apnaseher Private Limited, a company incorporated under the laws of India, having its registered office at 100ft Road, Anand, Gujarat – 388001, India ("Apnaseher", "We", "Us", or "Our"), the owner and operator of the mobile application and website "Apnaseher" (collectively, the "Platform") accessible at https://apnaseher.com.

By accessing, browsing, registering on, or using the Platform or its Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference and can be accessed at https://apnaseher.com/privacy-policy. If you do not agree to these Terms, you must not access or use the Platform.

1. DEFINITIONS

1.1. "Applicable Law" shall mean any statute, law, regulation, ordinance, rule, judgment, notification, order, decree, by-law, governmental approval, directive, guideline, requirement, or other governmental restriction, or any similar form of decision of, or determination by, or any interpretation, policy or administration of, any governmental authority, having the force of law in India.

1.2. "Apnaseher Wallet" shall mean a closed-loop, non-transferable digital wallet associated with your User account on the Platform, which may be credited with promotional amounts or refunds by Apnaseher.

1.3. "Building Materials" shall mean construction and allied goods including cement, steel, bricks, tiles, plumbing materials, electrical fittings, and similar items offered by Vendors under the Building Materials module of the Platform.

1.4. "Delivery Partner" shall mean an independent third-party contractor engaged in the business of providing delivery and logistics services, who is connected with Users and Vendors through the Platform to fulfil Orders.

1.5. "Order" shall mean a User's request for Products and/or Services from a Vendor placed through the Platform.

1.6. "Parcel" shall mean any package, document, or consignment submitted by a User for delivery via the Platform's Parcel Delivery module.

1.7. "Platform" shall mean the proprietary mobile application and website accessible at https://apnaseher.com, owned and operated by Apnaseher, which acts as a hyperlocal multi-vendor marketplace.

1.8. "Products" shall mean all goods, including but not limited to food, beverages, groceries, medicines, sweets, bakery items, building materials, and other items offered for sale by Vendors on the Platform.

1.9. "Rental Vehicle" shall mean any vehicle listed by a Vendor under the Vehicle Rental module of the Platform and made available for hire through the Platform.

1.10. "Services" shall mean the technology services provided by Apnaseher that facilitate the connection of Users with Vendors and Delivery Partners, including order placement, payment processing, logistics coordination, parcel delivery facilitation, and vehicle rental facilitation.

1.11. "User" or "You" shall mean any natural or legal person who registers for an account on the Platform or otherwise accesses or uses the Platform to browse or place Orders for Products and/or Services.

1.12. "User Content" shall mean any content, including reviews, ratings, comments, images, or other information, that a User posts, uploads, or otherwise makes available on the Platform.

1.13. "Vendor" or "Merchant" shall mean the local restaurants, grocery stores, pharmacies, sweet shops, bakeries, vehicle rental operators, building material suppliers, service providers, and other third-party sellers registered on the Platform, who offer their Products and/or Services for sale to Users.

2. ACCEPTANCE AND MODIFICATION OF TERMS

2.1. These Terms govern your use of the Platform and the Services. By creating an account, placing an Order, or otherwise using the Platform, you signify your unconditional acceptance of these Terms and agree to be legally bound by them.

2.2. Apnaseher reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform, via email, or through other reasonable means of communication. You are advised to review these Terms periodically for any changes. Your continued use of the Platform after the posting of any changes to these Terms constitutes your acceptance of those changes. If you do not agree to the amended Terms, you must cease using the Platform immediately.

3. ELIGIBILITY TO USE

3.1. Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors, un-discharged insolvents, etc., are not eligible to use the Platform.

3.2. If you are a minor, i.e., under the age of 18 years, you may not register as a User of the Platform or transact on or use the Platform. Apnaseher reserves the right to terminate your membership and/or refuse to provide you with access to the Platform if it is brought to Apnaseher's notice or if it is discovered that you are under the age of 18 years.

4. ACCOUNT REGISTRATION & SECURITY

4.1. To access most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2. You are solely responsible for safeguarding your account password and for any activities or actions under your account, whether or not you have authorized such activities or actions. You shall not share your login credentials, including any One-Time Password (OTP), with any third party. You agree to notify Apnaseher immediately of any unauthorized use of your account.

4.3. Apnaseher shall not be liable for any loss or damage arising from your failure to comply with this section. You may be held liable for losses incurred by Apnaseher or any other user of or visitor to the Platform due to authorized or unauthorized use of your account as a result of your failure in keeping your account information secure and confidential.

4.4. You shall not possess more than one User account. Transfer or assignment of your account to any third party is strictly prohibited.

5. PLATFORM ROLE & INTERMEDIARY STATUS

5.1. You acknowledge and agree that Apnaseher is a technology company that provides a platform for Users to connect with independent Vendors and Delivery Partners. Apnaseher is an "intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000, and a "marketplace e-commerce entity" under the Consumer Protection (E-Commerce) Rules, 2020. Our role is limited to facilitating the availability of the Platform and Services.

5.2. Apnaseher does not own, sell, resell, furnish, provide, prepare, manage, or control the Vendors or their Products/Services. Apnaseher does not employ the Delivery Partners or control the delivery services they provide.

5.3. The contract for the sale and purchase of Products and/or Services is a strictly bipartite contract between the User and the Vendor. Similarly, the contract for delivery services is between the User and the Delivery Partner, facilitated by the Platform. Apnaseher is not and cannot be a party to or control in any manner any transaction between the User, the Vendor, and the Delivery Partner.

5.4. Accordingly, Apnaseher is not responsible for and makes no warranties or representations regarding the quality, safety, legality, pricing, packaging, ingredients, allergens, or fitness for purpose of the Products or Services offered by Vendors. Any and all claims regarding the same must be directed solely to the respective Vendor.

6. VENDOR TERMS

6.1. All Vendors on the Platform are independent third-party businesses who have entered into a separate agreement with Apnaseher.

6.2. Vendors are solely responsible for:
a. Complying with all Applicable Laws, including but not limited to the Food Safety and Standards Act, 2006 (FSSAI), Legal Metrology Act, 2009, and rules thereunder.
b. Ensuring that all information provided on the Platform, including menus, product descriptions, prices, images, and FSSAI license numbers, is accurate, complete, and up-to-date.
c. The quality, quantity, preparation, and packaging of all Products.
d. Clearly listing all ingredients and allergen information for food Products.
e. Addressing User complaints regarding their Products or Services.
f. Maintaining all regulatory licenses and approvals applicable to their business category.

6.3. Apnaseher does not verify, endorse, or guarantee the information provided by Vendors and disclaims all liability in this regard. Apnaseher may, however, delist a Vendor for non-compliance with its policies or Applicable Law.

7. ORDER PROCESS & ACCEPTANCE

7.1. Any Order placed by you through the Platform is an offer by you to purchase the particular Product(s) or Service(s) from the Vendor for the price listed.

7.2. Upon placement of an Order, Apnaseher will transmit the Order details to the concerned Vendor. The acceptance of your Order shall be at the sole discretion of the Vendor.

7.3. A contract for the sale and delivery of Products/Services is concluded only when the Vendor accepts your Order. Apnaseher will notify you of the acceptance or rejection of your Order on behalf of the Vendor.

7.4. Apnaseher reserves the right to cancel any Order for any reason, including but not limited to, non-availability of the Product, error in pricing, suspicion of fraudulent activity, or if the delivery location is outside the designated service area.

8. PRICING, PAYMENTS & BILLING

8.1. The prices for Products listed on the Platform are determined solely by the Vendors. Prices are inclusive of applicable taxes, including Goods and Services Tax (GST), unless stated otherwise.

8.2. In addition to the price of Products, you may be charged a delivery fee, platform fee, surge charges, packaging charges, and any other fees as may be applicable from time to time. All such charges will be displayed to you on the checkout page before you confirm your Order.

8.3. You agree to pay for all Orders placed from your account. Payment can be made through various methods available on the Platform, including credit/debit cards, net banking, UPI, and other digital payment wallets, or Cash on Delivery, where available.

8.4. Apnaseher acts as a limited payment collection agent for the Vendor. By accepting these Terms, you authorize Apnaseher and its third-party payment processors to charge your selected payment method for the total amount of your Order.

8.5. You acknowledge that Apnaseher uses third-party payment gateways to process payments. Apnaseher is not responsible for any errors, delays, or security breaches committed by such third-party payment gateways.

8.6. Any promotional offers, discounts, or coupon codes are subject to their specific terms and conditions and may be withdrawn by Apnaseher at any time without notice. Apnaseher reserves the right to disqualify any User from any offer or promotion if it has reasons to believe that the User has violated the terms of the offer or is engaged in any fraudulent or malicious activity.

9. CANCELLATION, REFUNDS & RETURNS POLICY

9.1. Cancellation:
a. You may cancel an Order only within a short period after placing it, as specified on the Platform, and before it is accepted by the Vendor.
b. Apnaseher reserves the right to charge you a cancellation fee for Orders cancelled by you after acceptance by the Vendor, to compensate the Vendor and the Delivery Partner.
c. Apnaseher or the Vendor may cancel an Order for reasons including, but not limited to, unavailability of items or technical issues. In such cases, any amount paid by you will be refunded in full.

9.2. Refunds:
a. You may be entitled to a refund for a prepaid Order only in cases of non-delivery, cancellation by Apnaseher/Vendor, or delivery of a wrong/damaged item, subject to verification by Apnaseher through photographic or other evidence.
b. All refund decisions shall be at the sole discretion of Apnaseher, subject to Applicable Law including the Consumer Protection Act, 2019. The refund amount will be credited to your original payment method or your Apnaseher Wallet, as determined by Apnaseher. If you are dissatisfied with a refund decision, you may escalate your complaint to the Grievance Officer as detailed in Section 25.
c. No refund will be issued for issues related to taste, quality, or personal preferences regarding the Product where the item delivered matches the Order. Such issues must be raised directly with the Vendor.

9.3. Returns:
Returns are governed by the nature of the Product category as follows:
a. Food, Beverages, Groceries, Medicines, Sweets & Bakery: Due to the perishable nature of these Products, returns are not accepted. Claims for wrong or damaged items must be raised within 1 hour of delivery with photographic evidence.
b. Building Materials: Returns may be accepted at the sole discretion of the Vendor if the Product is unused, in its original packaging, and the return request is raised within 24 hours of delivery. Return eligibility and any applicable restocking fees are governed by the Vendor's individual return policy listed on the Platform.
c. Vehicle Rental: No physical return of goods applies. The Rental Vehicle is returned to the Vendor or agreed drop-off point as per the booking terms. Any damage-related claims are governed by Section 11A (Vehicle Rental Terms).
d. Parcel Delivery: Claims for lost, damaged, or undelivered Parcels are governed by Section 11B (Parcel Delivery Terms).

10. DELIVERY TERMS

10.1. Delivery of Orders is facilitated by independent third-party Delivery Partners. Apnaseher is not engaged in the business of delivery or logistics and is not liable for any act or omission of the Delivery Partner.

10.2. The estimated delivery time provided on the Platform is an approximation and may vary due to factors beyond our control, such as traffic, weather conditions, and unforeseen events. Apnaseher shall not be liable for any delay in the delivery of an Order.

10.3. You are responsible for providing an accurate and complete delivery address, including a valid contact number. Apnaseher and its Delivery Partners shall not be responsible for non-delivery or late delivery due to an incorrect address.

10.4. The Delivery Partner will attempt delivery at the address provided by you. If you are unavailable to receive the Order, the Delivery Partner will make a reasonable attempt to contact you before leaving. If delivery cannot be completed after reasonable attempts, the Order may be cancelled. In the case of a prepaid Order, a refund will be processed after deduction of any delivery charges already incurred. Apnaseher will endeavour to notify you before processing any such cancellation.

11. USER CONDUCT & PROHIBITED ACTIVITIES

11.1. You agree to use the Platform and Services only for lawful purposes and in compliance with all Applicable Laws.

11.2. You are strictly prohibited from:
a. Using the Platform for any fraudulent, unlawful, or malicious purpose.
b. Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
c. Interfering with or disrupting the operation of the Platform or the servers or networks used to make the Platform available.
d. Transmitting or otherwise making available in connection with the Platform any virus, worm, Trojan horse, time bomb, spyware, or other computer code, file, or program that is harmful or invasive.
e. Using any data mining, robots, scraping, or similar data gathering or extraction methods.
f. Posting, uploading, or distributing any User Content that is defamatory, obscene, pornographic, vulgar, offensive, harassing, violent, or promotes discrimination, bigotry, racism, or hatred.
g. Violating the intellectual property rights or any other rights of any third party.
h. Abusing promotional offers or coupon codes through fraudulent means.
i. Engaging in any conduct that is abusive or harmful towards any Vendor, Delivery Partner, or Apnaseher employee.

11A. VEHICLE RENTAL TERMS

11A.1. Platform Role: Apnaseher acts solely as a technology intermediary facilitating the connection between Users and Vendors offering Rental Vehicles. Apnaseher does not own, operate, maintain, or insure any Rental Vehicle listed on the Platform.

11A.2. Booking & Confirmation: A Vehicle Rental booking is confirmed only upon acceptance by the Vendor and receipt of applicable booking payment, if any. Estimated pickup or arrival times are indicative only and may vary due to factors beyond Apnaseher's control.

11A.3. User Responsibilities: You represent and warrant that at the time of using a Rental Vehicle, you hold a valid driving licence authorizing you to operate the category of vehicle booked, and that you are in a fit physical and mental condition to operate the vehicle. You agree to use the Rental Vehicle only for lawful purposes and in accordance with all Applicable Laws, including traffic regulations.

11A.4. Cancellation & Refund: Cancellations of Vehicle Rental bookings are subject to the cancellation policy displayed at the time of booking. Any applicable cancellation charges will be communicated to you on the checkout page prior to confirmation.

11A.5. Vehicle Condition & Damage: You agree to inspect the Rental Vehicle before use and report any pre-existing damage to the Delivery Partner or Vendor before commencing use. In the event of any damage to the Rental Vehicle occurring during your period of use, you may be held liable to the Vendor for the cost of repairs. Apnaseher assumes no liability for damage to the Rental Vehicle or for any accident, injury, or loss of life arising out of the use of the Rental Vehicle. All such liability rests solely between the User and the Vendor.

11A.6. Insurance: It is the Vendor's sole responsibility to ensure that the Rental Vehicle carries valid third-party insurance as mandated by the Motor Vehicles Act, 1988. Apnaseher makes no representations or warranties regarding the insurance coverage of any Rental Vehicle listed on the Platform.

11A.7. Ride Arrived Flow: Upon arrival of the Rental Vehicle at the designated pickup location, the Delivery Partner will mark the status as "Ride Arrived" on the Platform. Your rental period commences from the time of this status update or from your confirmed pickup time, whichever is earlier, as per the booking terms.

11B. PARCEL DELIVERY TERMS

11B.1. Platform Role: Apnaseher facilitates Parcel Delivery services by connecting Users (senders) with Delivery Partners through the Platform. Apnaseher is not a courier or logistics service provider. The contract for delivery of any Parcel is between the User (sender) and the Delivery Partner. Apnaseher's role is limited to facilitating this connection.

11B.2. Permitted Parcels: You may only use the Parcel Delivery module to send packages that comply with all Applicable Laws. The following items are strictly prohibited from being sent via the Platform:
a. Narcotics, drugs, or controlled substances.
b. Explosives, flammable materials, or hazardous chemicals.
c. Weapons, ammunition, or any item banned under Applicable Law.
d. Counterfeit goods or items infringing third-party intellectual property rights.
e. Perishable goods that are not adequately packaged for transit.
f. Any other item that the Delivery Partner or Apnaseher reasonably determines cannot be safely transported.

11B.3. Sender Responsibilities: You are solely responsible for: (a) ensuring the Parcel and its contents comply with all Applicable Laws; (b) adequate packaging of the Parcel to prevent damage during transit; (c) providing an accurate description of the Parcel's contents and declared value, where applicable; and (d) ensuring the recipient's delivery address and contact details are correct and complete.

11B.4. Tracking & Delivery Confirmation: A tracking ID will be generated and shared with you upon dispatch of the Parcel. You and the recipient may track the status of the Parcel through the Platform. Delivery is deemed complete upon the Delivery Partner marking the Order as "Delivered" on the Platform.

11B.5. Loss or Damage in Transit: In the event a Parcel is lost or damaged in transit, you must report the same to Apnaseher's Grievance Officer within 24 hours of the expected delivery time. Apnaseher will endeavour to facilitate a resolution between you and the Delivery Partner but assumes no financial liability for any loss or damage to Parcels. Apnaseher strongly recommends declaring the value of high-value items and obtaining appropriate insurance from the Delivery Partner or a third-party insurer before dispatch.

11B.6. Liability Limitation for Parcels: Apnaseher's liability, if any, for any claim arising out of a Parcel Delivery transaction shall be strictly limited to the amounts set out in Section 13 of these Terms.

11B.7. Prohibited Use: You shall not use the Parcel Delivery module to send Parcels on behalf of third parties for commercial gain, or to operate a competing logistics or delivery business through the Platform.

12. DISCLAIMERS & NO LIABILITY

12.1. Apnaseher does not make any representation or warranty as to the item-specifics (such as quality, value, saleability, etc.) of the Products or Services proposed to be sold or offered to be sold or purchased on the Platform. Apnaseher accepts no liability for any errors or omissions, whether on behalf of itself or third parties (Vendors and Delivery Partners).

12.2. Apnaseher is not responsible for any non-performance or breach of any contract entered into between Users and Vendors. Apnaseher cannot and does not guarantee that the concerned Users and/or Vendors will perform any transaction concluded on the Platform.

12.3. Apnaseher is not responsible for the safety, quality, ingredients, or allergens of any food Products. All such liability rests solely with the Vendor. Users with allergies or dietary restrictions are advised to contact the Vendor directly for specific information before placing an Order.

12.4. Apnaseher is not liable for the conduct, actions, or inactions of the Delivery Partners. Any complaint regarding delivery services must be reported to Apnaseher, which will endeavour to facilitate a resolution but assumes no liability.

13. LIMITATION OF LIABILITY

13.1. Notwithstanding anything to the contrary contained herein, in no event shall Apnaseher, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the Platform or Services.

13.2. Apnaseher's total cumulative liability to you for any and all claims and damages arising from or in connection with your use of the Platform and Services, under any theory of liability (contract, tort, or otherwise), shall in no event exceed the greater of (a) the total value of the specific Order giving rise to the claim, or (b) INR 1,000 (Indian Rupees One Thousand only).

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Apnaseher, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (d) any dispute or issue between you and any third party (including any Vendor or Delivery Partner).

15. INTELLECTUAL PROPERTY RIGHTS

15.1. The Platform, including its source code, logos, text, graphics, images, and software ("Platform Content"), is the exclusive property of Apnaseher and is protected by copyright, trademark, and other intellectual property laws.

15.2. Apnaseher grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use, strictly in accordance with these Terms. You shall not copy, modify, distribute, sell, or lease any part of our Platform or Platform Content.

16. SUSPENSION & TERMINATION OF ACCOUNT

16.1. Apnaseher may, in its sole discretion, suspend or terminate your account and access to the Platform at any time, without prior notice, if you breach any of these Terms, engage in fraudulent activities, or for any other reason it deems appropriate.

16.2. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. RATINGS, REVIEWS & USER CONTENT

17.1. You may post ratings, reviews, and other User Content on the Platform. By submitting User Content, you grant Apnaseher a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and modify your User Content in connection with the Platform and Apnaseher's business.

17.2. You represent and warrant that you own or have the necessary rights to the User Content you post and that it does not violate any third-party rights or Applicable Laws.

17.3. Apnaseher reserves the right, but not the obligation, to monitor, edit, or remove User Content that it determines, in its sole discretion, to be unlawful, offensive, or otherwise in violation of these Terms.

17.4. The opinions expressed in ratings and reviews are those of the Users and do not reflect the opinion of Apnaseher. Apnaseher is not liable for any User Content or for any loss or damage resulting therefrom.

18. COMMUNICATIONS

By creating an account, you agree to receive communications from Apnaseher, including transactional and promotional messages, via email, SMS, push notifications, and other electronic means. You may opt-out of receiving promotional communications by following the unsubscribe instructions provided in such communications.

19. PRIVACY & DATA USAGE

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information. By using the Platform, you agree to the collection and use of your information in accordance with our Privacy Policy, which can be found at https://apnaseher.com/privacy-policy.

20. THIRD-PARTY SERVICES DISCLAIMER

The Platform may contain links to third-party websites or services that are not owned or controlled by Apnaseher. Apnaseher has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Apnaseher shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

21. FORCE MAJEURE

Apnaseher shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Apnaseher's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation, act of God, fire, flood, war, public disaster, strike, lockout, or other industrial dispute, governmental action, pandemic, or epidemic.

22. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the dispute resolution clause below, you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts located in Anand, Gujarat, India.

23. DISPUTE RESOLUTION

23.1. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through written notice by either party to the other, allowing a period of 30 (thirty) days for resolution. If such amicable resolution fails, the dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

23.2. The arbitral tribunal shall consist of a sole arbitrator. If the parties are unable to agree on the appointment of the sole arbitrator within 15 (fifteen) days of the failure of amicable resolution, either party may request the appointment of the arbitrator by the competent authority under the Arbitration and Conciliation Act, 1996, or by mutual agreement refer the appointment to a recognized arbitral institution.

23.3. The seat and venue of the arbitration shall be Anand, Gujarat, India.

23.4. The language of the arbitration shall be English.

23.5. The award of the arbitrator shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.

24. GENERAL PROVISIONS

24.1. Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Apnaseher concerning your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

24.2. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

24.3. Waiver: The failure of Apnaseher to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
